More Mobile Wallets Incoming: Placecast Launches White Label ShopAlerts Wallet

Analysis: Goldman judge cuts Wells notice disclosure burden

(Reuters) - A federal judge's decision that otherwise went against Goldman Sachs Group Inc has made it easier for companies to defeat shareholder claims that litigation threatened by the U.S. Securities and Exchange Commission should be disclosed.

U.S. District Judge Paul Crotty in Manhattan said Goldman could not be sued under federal law for securities fraud for failing to disclose it had received a Wells notice from the SEC, though news of a notice often causes a negative market reaction.

The case related to Goldman's alleged failure to disclose conflicts of interest in its sale of risky collateralized debt obligations such as Abacus 2007 AC-1, which led to a $550 million settlement between the bank and the SEC.

A Wells notice shows that SEC staff intend to recommend civil charges and lets a recipient mount a defense. But it is SEC commissioners themselves who decide whether to bring a case.

"At best, a Wells notice indicates not litigation, but only the desire of the enforcement staff to move forward," Crotty wrote. "When the regulatory investigation matures to the point where litigation is apparent and substantially certain to occur, then ... disclosure is mandated."

Goldman got its Wells notice in July 2009, but that was not revealed until the SEC accused it of fraud the following April. Two employees, Fabrice Tourre and Jonathan Egol, also got Wells notices, and the SEC eventually charged Tourre with fraud.

Peter Henning, a law professor at Wayne State University, said Crotty's decision is the first to conclude that receipt of a Wells notice does not trigger an automatic disclosure obligation, including for companies that like Goldman may have earlier made general disclosures about regulatory probes.

"The tension is that investors want to know everything, and companies want to reveal nothing," Henning said. "Judge Crotty's decision pushes the trigger point for when disclosure is required to a later date. That's good for companies. From an investor transparency point of view, this is not helpful."

A 2009 study by Cornerstone Research found that 17 of 58 Wells notice disclosures from April 2002 to January 2007 triggered large stock price declines. It also found that these 58 announcements, when analyzed collectively, triggered statistically significant stock price declines.

MARKET MOVING, BUT NOT DISCLOSABLE

Goldman shares fell 12.8 percent on April 16, 2010 when the SEC announced its civil fraud lawsuit over Abacus, wiping out more than $12 billion of the Wall Street bank's market value.

By the end of June, after more details had emerged about Goldman's CDO, the shares had fallen nearly 29 percent.

Another U.S. regulator, the Financial Industry Regulatory Authority, in November 2010 fined Goldman $650,000 for failing to reveal the Wells notices that Tourre and Egol had received.

In his decision, Crotty did let the Goldman shareholders pursue claims that the bank failed to disclose it had bet against some CDO it was selling, and let billionaire hedge fund manager John Paulson bet against securities he chose for Abacus.

Still, the judge said that while companies have a duty to make "accurate and complete" disclosures, this did not mean they needed to disclose everything, but rather enough such that what was revealed "would not be so incomplete as to mislead."

He explained: "A corporation is not required to disclose a fact merely because a reasonable investor would very much like to know that fact."

Robert Daines, a professor and governance specialist at Stanford Law School, said the judge tied his holding close to the facts of the case, making the broader impact unclear.

"Because a Wells notice is issued before the SEC knows much about the case, the notice may or may not turn out to be important," he said, "and so the SEC has long taken the position that a Wells notice may or may not be material information."

Henning said Crotty's decision could prompt an SEC review of Regulation S-K, which sets out reporting requirements for public companies. But he also said greater disclosure obligations could backfire on the agency by forcing more disputes into the open.

"A Wells notice serves a purpose for the SEC, to prod companies to settle," he said. "But if it is something companies must disclose immediately, the SEC may become more reluctant to issue a notice, and that could reduce its flexibility."

SEC spokesman John Nester declined to comment.

The Tourre case remains unresolved. Egol was not charged.

Returning the pop to Renaissance paintings

A new look at old paintings reveals never-before-seen details of two Renaissance works of art, including hidden decorations in brilliant silver and gold.

The hidden accents appear on frescoes painted in the Chapel of Theodelinda in the Monza Cathedral in Italy. To the naked eye, they appear dull and are sometimes even painted over. Using a new technique, however, Italian scientists can make the colors pop. These new visualizations could help art historians restore and conserve the paintings.

The technique is called thermal quasi-reflectography, or TQR. It uses reflected light to differentiate between different pigments on a piece of art.

"This is, to the best of our knowledge, the first time that this technique has been applied on artworks," study researcher Dario Ambrosini of the University of L'Aquila in Italy said in a statement. "This novel method represents a powerful yet safe tool for artwork diagnostics." [ See Photos of the Renaissance Art ]

A new light on old art
Art conservators have long used parts of the light spectrum not visible to the naked eye to bring out tiny details in old paintings. Infrared light, for example, has wavelengths longer than visible light. By taking images of artwork in these long wavelengths, scientists can see places where layers have been painted upon layers, revealing preparatory sketches and changes by the artist.

Other techniques use thermal, or heat, energy to investigate the materials a painting is made of as well as structural flaws. A dot of paint with an air bubble behind it, for example, will emit less heat than spots where the paint is flush because of the insulating properties of air.

Ambrosini and his colleagues turned this last technique on its head. Instead of measuring heat emitted from a painting, the researchers shone a halogen lamp in the mid-infrared spectrum onto the frescoes and measured the amount of light reflected back. A camera capable of capturing mid-wavelength infrared light recorded the image created as the light bounced off the art.

The set-up was simple, but the researchers had to control the environment carefully, ensuring that the lamp did not heat the painting surface and that there were no other sources of heat nearby.

Unseen detail
The researchers tested the TQR technique on two frescoes, or murals created on wet plaster on walls. The first were the 15th-century paintings in the Chapel of Theodelinda, which depict the life of the patron queen of the church. With the TQR system, the scientists were able to make out extra detail on the old frescoes. Suits of armor, dulled and uniform to the naked eye, reveal sharp lines and careful detail under the infrared technique. In one case, the individual fingers of a soldier grasping a staff come out of hiding.?

Because silver and gold pigments are highly reflective, they stand out strongly in the new views of the Theodelinda frescoes. Decorations on the soldier's armor appear almost luminous in the new images.

Next, the researchers tried the technique on Piero della Francesca's "The Resurrection," which dates back to the 1460s and depicts the resurrection of Jesus Christ. This painting is held in the Museo Civico of Sansepolcro in Italy.

In this fresco, the new images showed differences in pigments that look nearly identical to the naked eye. They also showed telltale signs of retouching, as well as a segment of a soldier's sword painted with two different fresco techniques. These tiny details can be very important to art historians trying to restore a work to its original condition.

The researchers are now testing the technique on other, non-fresco types of paintings, hoping it can be used to tell what kinds of pigments were used to make the painting.

"Determining the chemical makeup of the pigments is important in determining how best to protect and restore the artwork," Ambrosini said. He and his colleagues reported their work Monday in the open-access journal Optics Express.

  • Variety of foods: The variety of fruits, vegetables, seeds, grains, and nuts in a whole food diet is practically limitless. This allows for greater consumption of vitamins, minerals, and nutrients that directly benefit daily bodily function.
  • Greater satisfaction, less overeating: Meals that are rich in nutrients and fiber are more filling than processed foods. They take a longer time to chew and eat, allowing your body to signal when it?s full before you?re over stuffed.

It is also important to mention an increased amount of phytochemicals in a whole food diet. Phytochemicals have been proven to reduce the risk of chronic diseases such as cancer, heart disease, and colon disorders. Fukushima Radiation Finally Below "Cancer-Causing Levels ...

Residents of Japan may be able to breathe a sigh of relief as the World Health Organisation (WHO) recently announced that radiation levels in most of the country are ?below cancer-causing levels.? It has been 14 months since the earthquake and tsunami in Japan caused a nuclear meltdown at the Fukushima Daiichi nuclear plant. The damage caused massive radiation leaks and forced the evacuation of thousands of people. At the time, the disaster was said to be worse than Chernobyl, but now the WHO report suggests that the contamination is not as bad as originally supposed.

As expected, areas near the plant still have relatively high levels of radiation, but radiation levels in surrounding regions are close to normal. The report states that two areas,?Namie town and Itate village, which were located near the plant in eastern Japan, were exposed to radiation levels of 10-50 millisieverts (mSv). The rest of Fukushima had radiation levels of 1-10 mSv.

Infants in Namie were thought to have received thyroid radiation doses of between 100 and 200 mSv a year. ?That would be one area because of the estimated high dose that we would have to keep an eye on,? according to WHO spokesman Gregory Hartl. ?Below 100 mSv, the studies have not been conclusive.? Most of Japan has levels of 0.1-1 mSv, while neighbouring countries have less than 0.01 mSv. The report also suggests that radiation levels outside of Japan are ?very small? and below?those regarded by the international radiological protection community as a concern.

To put these radiation levels into perspective, most people are exposed to around 2 mSv of radiation a year from the natural environment. For those working in nuclear plants, the single-year limit for occupational exposure is 50 mSv.?The report states that it has used conservative assumptions, and says some of the levels may have been overestimated so as to avoid any underestimation of the potential danger.

The BBC also reports that a UN scientific committee has announced that several workers at the plant have been ?irradiated after contamination of their skin.???Six workers have died since the accident but none of the deaths were linked to irradiation,? according to a statement based on interim findings by the United Nations Scientific Committee on the Effects of Radiation (UNSCEAR).

Pakistan blocks Twitter over contentious tweets

(AP) ? Pakistan blocked the social networking website Twitter for much of Sunday because it refused to remove tweets considered offensive to Islam, said one of the country's top telecommunications officials.

The tweets were promoting a competition on Facebook to post images of Islam's Prophet Muhammad, said Mohammad Yaseen, chairman of the Pakistan Telecommunication's Authority. Many Muslims regard depictions of the prophet, even favorable ones, as blasphemous.

The government restored access to Twitter before midnight Sunday, about eight hours after it initially blocked access. It was unclear whether the government reversed its decision because of action by Twitter or because of public criticism it received for its censorship.

Yaseen said Sunday afternoon that Pakistan's Ministry of Information Technology had ordered the telecommunications authority to block Twitter because the company refused to remove the offending tweets. In contrast, Facebook had agreed to address Pakistan's concerns about the competition, he said.

The ministry informed Yaseen to restore access to Twitter Sunday evening, but he did not know what led to the decision.

Officials from Twitter and Facebook were not immediately available for comment.

A top court in Pakistan ordered a ban on Facebook in 2010 amid anger over a similar competition. The ban was lifted about two weeks later, after Facebook blocked the particular page in Pakistan. The Pakistani government said at the time that it would continue to monitor other major websites for anti-Islamic links and content.

Even when Twitter was blocked Sunday, many people based in Pakistan continued to use the website by employing programs that disguise the user's location. There was widespread criticism of the government's action by those on Twitter, who tend to be more liberal than average Pakistanis.

"Another cheap moral stunt by Pakistan," tweeted liberal Pakistani columnist Nadeem Paracha.

The 2010 Facebook controversy sparked many in Pakistan's liberal elite to question why Pakistanis could not be entrusted to decide for themselves whether or not to look at a website. Some observers noted that Pakistan had gone further than several other Muslim countries by banning Facebook, and said it showed the rise of conservative Islam in the country.

There were a handful of protests against Facebook back in 2010, often organized by student members of radical Islamic groups. Some of the protesters carried signs advocating holy war against the website for allowing the competition page to be posted in the first place.

Krzysztof Szalewicz, professor of physics and astronomy at the University of Delaware, and Rafal Podeszwa of the University of Silesia Institute of Chemistry in Poland have developed and validated a more accurate method for predicting the interaction energy of large molecules, such as biomolecules used to develop new drugs.

The research is reported as a communication in the April 27 issue of the Journal of Chemical Physics, which is the most highly cited journal in atomic, molecular and chemical physics according to Thomson Reuters. The journal is published by the American Institute of Physics. Despite appearing at the end of April, the paper was on the list of the 20 most-read articles in JCP for that month.

If you think of two molecules as a couple on a blind date, the UD method more accurately predicts their potential for attraction or repulsion. Such interactions are known as van der Waals forces after the Dutch physicist who defined them and won the 1910 Nobel Prize in physics.

The UD method is expected to enhance existing theory by enabling scientists to more accurately calculate the energy of the van der Waals interactions between molecules located several angstroms apart, which is about one-millionth of the width of a human hair. Existing theory applicable to large molecules can model such interactions within only about one angstrom.

Szalewicz says the UD method of calculating the correlation between the motions of electrons in van der Waals clusters ? technically referred to as the "dispersionless density functional plus dispersion method (dlDF+D)" ? generates more accurate predictions for the interactions of large molecules than any other published approach. It is expected to have application in computational studies of clusters and condensed phases of matter, which include solids and liquids.

Szalewicz notes that some pharmaceutical companies, particularly in Europe, have established computational groups to predict various properties of drug molecules, in particular, the abilities of drugs to form different crystallographic structures called polymorphs.

Even the simplest drugs, such as Tylenol, have several polymorphs. If a different polymorph of a drug is crystallized in the production phase than the one intended, the therapeutic properties of this polymorph may be different and its application may even result in the death of patients, he says. The defense industry also increasingly is relying on computers to predict the properties of novel materials, such as bulletproof body armor.

"Better prediction of the properties of matter using computers is important to technological progress," Szalewicz says. "Better software and computers can give you a little edge in investigating nature."

SES and Samsung unveil Africa's first TV with integrated free-to-air satellite receiver

SES (Euronext Paris and Luxembourg Stock Exchange: SESG) announced at the Samsung Africa Forum in Cape Town, South Africa, that it is collaborating with Samsung to drive digital broadcasting via satellite in sub-Saharan Africa. Samsung will introduce an LED television with an integrated free-to-air satellite receiver, the Samsung LED TV Free Satellite, that will be distributed in Nigeria, Ghana, Cote D?Ivoire, Senegal, Democratic Republic of Congo and Cameroon in August 2012. Distribution to additional countries will follow.

The integrated satellite receiver will allow consumers to receive free-to-air television channels without the need for an additional set top box as the LED TV will be directly connected with the satellite dish. In preparation for the launch, SES and Samsung will jointly arrange training sessions with distribution partners and installers to ensure the proper connection of the TV device to the satellite dish. Both partners will also run a joint marketing campaign in June 2012.

As a leader in the free-to-air digital TV market, SES delivers more than 60 free-to-air channels in more than 40 African countries. The launch of the new Samsung LED TV Free Satellite coincides with more channels becoming available in Africa.

The Tar Heels, who will be without point guard Kendall Marshall, must deal with 13 seed Ohio, which is seeking its first ever regional finals appearance. This evening?s game between the Tar Heels and Bobcats is slated for a 7:47pm ET start at the Edward Jones Dome in St. Louis, Missouri; it will be broadcast live on TBS. NCAA Tournament 2012 Sweet 16 picks have North Carolina listed as a -10 against the spread favorite and the Over/Under set at 143 points.

North Carolina cruised through its first two NCAA Tournament games, thumping Vermont 77-58 before going on to beat eighth seeded Creighton 87-73. As the scores would indicate, the Tar Heels were impressive in both outings, but their win over the Blue Jays was particularly note worthy as all five starters scored in double figures. UNC also shot 50.8 percent from the field as a team and connected on eight of its 16 three point attempts.

Forward John Henson, who missed the game against the Catamounts, posted a 13 point, 10 rebound double-double in his return while point guard Kendall Marshall led the team with 18 points and 11 assists. Unfortunately for Head Coach Roy Williams and Marshall?s teammates, Marshall will not see action tonight. The sophomore suffered a broken wrist in the second half of the Creighton game and Williams suggested his presence in this evening?s contest was unlikely.

The question now shifts to Ohio and whether or not it has enough to overcome a depleted Tar Heels team. The Bobcats pulled off two upsets last week, beating fourth seeded Michigan and 12th seeded South Florida to advance to the Sweet 16.

Ohio?s guard combination of D.J. Cooper and Walter Offutt were outstanding in both wins, combining for 72 of the team?s 127 points. The pair also amassed 16 assists and eight steals in the two wins while knocking down 9-of-19 from beyond the arc.

North Carolina should advance tonight, but Marshall?s absence is enough to maybe lean the Bobcats way on the line.

Fruit Ninja updated, new multiplayer capabilities added

The fruit-slashing favourite, Halfbricks' Fruit Ninja, has received an update today that brings with it some pretty nice new multiplayer features. 

The "pomegranate" update is now live in the Google Play Store. The multiplayer options are now available using both local and online multiplayer services. At first glance, it seems to work really well too. You can choose who you want to play against, or swipe over the quick match option to be taken to a random opponent. 

Beyond this, as with any good update we also get some bug fixes too. There is a compatibility update for a small number of devices that were experiencing a "minor audio bug."

For decades, the standard instruction was that drivers should hold the steering wheel at the 10 and 2 positions, as envisioned on a clock. This, it turns out, is no longer the case. In fact,?driving that way could cost you your arms or hands in particularly gruesome ways if your airbag deploys.

Instead AAA, the National Highway Traffic Safety Administration and many driving instructors now say you should grip the wheel at 9 and 3 o'clock. A few go even further, suggesting 8 and 4 to avoid the airbag mechanism as much as possible, but what formal research has been published on the varieties of hand positions suggests that this may lessen your control of the car.


Safer cars make old-school ways dangerous
In its latest guidelines for effective steering, distributed by state and private driving instructors nationwide, the American Driver and Traffic Safety Education Association advises that "recommendations relative to hand position on the steering wheel have become more flexible."

As cars have become safer over the years, "the steering wheel and associated mechanisms (have) changed dramatically," it says, meaning the familiar driving maneuvers "needed to turn the wheel have all changed." Principal among the changes is the incorporation of airbag modules in the steering column, which are designed to deploy upward to protect your head and chest.


Where to put your hands Driver

The American Driver and Traffic Safety Education Association, the trade group for driving instructors, goves this advice:

? Both hands should be placed outside of the steering wheel on opposite sides.

? Your grip should be firm, yet gentle.

? Use your fingers instead of the palms of your hands and keep your thumbs up along the face of the steering wheel.

? Never turn the wheel while gripping it from the inside of its rim.


That means the higher up the wheel your hands are, the more likely they are to be directly over the plastic cover when it opens ? that is, when superhot nitrogen gas flashes and inflates the bag at 150 to 250 mph.

Among the injuries the NHTSA reports from improper placement of the hands when an airbag deploys are amputations of fingers or entire hands, traumatic fractures and a particularly stomach-churning injury called "degloving," which ? trust us ? you definitely don't want to look up.

AAA says the bags can also slam your hands directly into your head, causing broken noses and concussions.

"If the bag is going to go, it's going to take my hand and put it into my face ? either one of my hands," Bob Hendrickson, head of AAA's network of driving schools in central Indiana, told NBC station WTHR of Indianapolis.

Experts also say new research in ergonomics suggests that what's called "parallel position" makes for safer driving in general.

Parallel position "improves stability by lowering the body's center of gravity and reduces unintended and excessive steering wheel movement which is a primary cause of young driver fatalities," the Texas Department of Public Safety says in guidelines for new drivers (.pdf).

In plain English, that means "9 and 3," said Dallas police Sgt. Paul Hinton, who teaches law enforcement officers how to drive safely in emergencies like highway chases or when facing a wrong-way driver.

"That way I can go 180 degrees (one way), 180 degrees back the other way and then back to center," Hinton told NBC station KXAS of Dallas. "That's the way I'm going to be able to change lanes (safely)."

One other thing
You're also turning wrong. That ship captain's-style "hand over hand" thing is now out.

Instead, you're supposed to "push-pull" ? that is, push the wheel up with one hand and pull it down with the other, without crossing over.

The reason is the same, State Farm's auto insurance division says in its guidelines for beginning drivers:

"Hand-over-hand maneuvers during turning should be avoided to prevent arms from being in front of a deploying airbag in the event of a crash. Serious injuries may result during such occurrences."

US joins search for Earhart after photo analysis

Seventy-five years after the disappearance of Amelia Earhart, Secretary of State Hillary Clinton is lending her support to a new investigation into the mystery surrounding the famed aviator's final flight. NBC's Chris Jansing reports.

WASHINGTON -- Following new analysis of a photo that could show wreckage of Amelia Earhart's plane, the Obama administration on Tuesday said it was?backing a search?this summer?to?hopefully solve the mystery of America's greatest female aviator.

"We can be as optimistic and even?audacious as Amelia Earhart," Secretary of State Hillary Rodham Clinton said at a ceremony in Washington, D.C., to announce U.S. support for the expedition. "There is great honor?and possibility in the search itself."


The search by The International Group for Historic Aircraft Recovery will focus on the remote island of Nikumaroro, in what is now the Pacific nation of Kiribati.

The group believes Earhart and her navigator?Fred Noonan might have managed to land on the island, then known as Gardner Island, and that they could have survived for a short time after disappearing on July 2, 1937.

Other historians believe they crashed into the ocean. But conspiracy theories, including claims that they were U.S. government agents captured by the Japanese before World War II, abound despite having been largely debunked.

The International Group for Historic Aircraft Recovery

This 1937 photo was presented Tuesday as having been analyzed by experts to reveal an object in the water, not easily visible at this scale, showing what might be the landing gear and a wheel from an aircraft.

New analysis of a photo taken at Nikumaroro three months after the disappearance?shows what some people believe could be a strut and wheel of the plane protruding from the water, the group says. State Department analysts helped examine the photo.

The hypothesis is that the plane crashed on a reef before eventually being washed deeper into the sea.

The group hopes that probes down the reef slope will reveal larger aircraft parts such as the engines lying in a dim "twilight zone" about 300 yards below the ocean surface.

A photo taken just three months after Earhart disappeared may provide new evidence of famed aviator's plight. The group that plans to conduct the deepwater search believes her airplane is still recoverable. NBC's Chris Jansing reports.

Renowned oceanographer Robert Ballard, who discovered the wreckage of the Titanic and the Bismarck and is advising the Earhart expedition, said the new analysis of the photograph could be the equivalent of a "smoking gun" as it narrows the search area from tens of thousands of square miles to a manageable size.

In 2010, bone fragments were found on the island that the group believes might be of Earhart or Noonan. Other artifacts have been recovered there as well that suggest the two might have lived for days or weeks after landing on a reef.

The privately funded?group is putting up $500,000 for the search. The U.S. won't provide money but will?offer limited logistical support. Transportation Secretary Ray LaHood joined Clinton at the ceremony.

Ric Gillespie, the executive director of the group, said the new search is scheduled to last for 10 days in July and will use state-of-the-art underwater robotic submarines and mapping equipment. The Discovery Channel will film the expedition for a television documentary, he said. He acknowledged that the evidence was circumstantial but "strong" but stopped well short of predicting success.

Discovery of bones and other artifacts on a remote island have proven inconclusive in the search of famed pilot Amelia Earhart. NBC's Janet Shamlian has the story.

"The most important thing is not whether we find the ultimate answer or what we find, it is the way we look," he said. "We see this opportunity to explore ... the last great American mystery of the 20th century as a vehicle for demonstrating how to go about figuring out what is true."

"Back in 1937, in the painful recovery from the Great Depression, Amelia Earhart's courage and determination inspired the American people," he added. "Well, hard times are here again and we need that type of courage and determination again ... we're going to try our best to find her, not for ourselves, but for you," the public.
